Biography:

Mark J. Kelson is the Chair of the Los Angeles Corporate Practice. Mark maintains a diverse corporate practice, emphasizing complex transactional work, including mergers, acquisitions, leveraged buyouts, private and public debt and equity offerings, dividend recapitalizations and joint ventures. He regularly advises companies and their boards of directors with respect to corporate governance, strategy and executive compensation issues.

Mark acts as lead counsel in domestic and cross-border transactions, involving companies in a number of industries, including technology, manufacturing, consumer products, aerospace, media, food and beverage, hospitality, restaurants, real estate, financial services and healthcare. Mark serves as lead counsel to private equity firms and their portfolio companies, investment banks and financial institutions and numerous public and private companies. He also represents a wide variety of companies and their owners in stock and asset divestiture transactions involving strategic and financial buyers.

Mark’s work extends to complex regulatory and compliance issues arising in connection with his transactional work and representation of acquirers, underwriters and public and private issuers. In addition, Mark has published numerous articles covering topics that include strategies in merger and acquisition transactions, corporate governance and securities laws.
